TERMS OF SERVICE

Welcome to Älykäsi! These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you”) and Texus Oy (Business ID: 3428904-1), a company registered in Finland, regarding your use of the Älykäsi platform and its services (“Platform,” “Service”).

By creating an account or using our Service, you agree to be bound by these Terms.

Article 1: Definitions

  • Platform: Refers to the Älykäsi website (www.alykasi.com), its AI tools, and all related services operated by Texus Oy.

  • User: Any individual or entity who accesses or uses the Platform, including Buyers and Tailors.

  • Buyer: A User who submits a “Bid Request” for a custom handcrafted product.

  • Tailor: A professional artisan, crafter, or tailor offering their services on the Platform.

  • Bid Request: The AI-generated image and specifications submitted by a Buyer.

  • Final Product: The physical, handmade item created by a Tailor based on a Bid Request.

Article 2: Description of the Service Älykäsi is an online marketplace that connects Buyers with independent Tailors. The Platform’s role is to act as an intermediary to:

  • Allow Buyers to generate and submit design ideas via our AI tool.

  • Enable Tailors to submit offers (“Bids”) for these requests.

  • Provide a secure payment system where the Buyer’s payment is held by Texus Oy until the order is completed.

The contract for the creation and sale of a Final Product is directly between the Buyer and the Tailor. Texus Oy is not a party to this contract and is not responsible for the creation, quality, or delivery of the Final Product.

Article 3: User Accounts and Responsibilities

  • To use the Service, you must create an account and provide accurate, current, and complete information.

  • You are responsible for safeguarding your account password and for all activities that occur under your account.

  • Users agree not to post any content or engage in any activity that is illegal, harmful, offensive, or disrupts the integrity of the Platform.

Article 4: Order, Payment, and Acceptance Process

  1. Placing and Accepting a Bid: A Buyer accepts a Tailor’s offer by completing the payment through the Platform. This action forms a binding agreement between the Buyer and the Tailor.

  2. Payment: All payments are processed securely through our designated payment processor. The Buyer pays the full amount in advance. Texus Oy holds these funds until the order is marked as “Completed.”

  3. Delivery and Acceptance Period: The Tailor is responsible for shipping the Final Product with a valid tracking number. The Buyer has a 48-hour (2-day) window from the moment the shipping carrier’s tracking system marks the package as “Delivered” to review the Final Product.

  4. Order Completion:

    • If the Buyer is satisfied, they should manually approve the order via their account.

    • If the Buyer takes no action within the 48-hour period, the order will be automatically marked as “Completed.”

    • Once an order is “Completed,” either manually or automatically, the payment is released to the Tailor (less Platform fees), and the sale is considered final.

Article 5: Disputes, Cancellations, and Refunds

  1. Nature of Handcrafted Products: All Users acknowledge that Final Products are handmade. Minor variations in color, texture, and exact dimensions from the AI-generated Bid Request image are natural and do not constitute a “defective” product.

  2. Dispute Process: If a Buyer believes the Final Product is significantly different from the Bid Request, they must initiate a dispute through the Platform within the 48-hour Acceptance Period, providing clear photographic evidence.

  3. Platform’s Role as Mediator: In the event of a dispute, Texus Oy will act as a neutral mediator. We will review the evidence from both parties. Our decision is final and binding. Texus Oy may, at its sole discretion, issue a full or partial refund, or deny the refund request.

Article 6: Intellectual Property By submitting a Bid Request, the Buyer grants the selected Tailor a limited, non-exclusive, single-use license to create one (1) physical Final Product based on the design for that specific order. The Tailor agrees not to reproduce, resell, or reuse the Buyer’s design for any other purpose.

Article 7: Limitation of Liability To the fullest extent permitted by law, Texus Oy is not liable for any indirect, incidental, or consequential damages arising from your use of the Platform. We are not responsible for the quality, safety, or legality of the Final Products. Any claims related to a Final Product must be directed to the Tailor.

Article 8: Governing Law and Jurisdiction These Terms shall be governed by the laws of Finland and applicable EU regulations. Any disputes will be resolved in the District Court of Pirkanmaa, located in Tampere, Finland.
